These terms and conditions create a legally binding contract (The “Agreement”) between [Your name / Your Company Name] (“The Developer” “We” “us”) and [Client Name] (“The Client” “you”) with respect to the services in the project quotation.

By accepting the project quotation and paying the advance fee invoice, you agree that you have read, understood, and accept to be bound by these Terms and Conditions.

Agreement

In addition to these terms and conditions, the project quotation is the entire agreement between The Developer and The Client. The agreement will begin upon receipt of the initial advance payment.

Scope of Work

The scope of work is limited to the items / services / features outlined in the project quotation. If the Client requests additional work, services, features, pages and/or revisions by The Developer outside the scope of work outlined in the project quotation, the Client agrees this constitutes “scope creep” and it will require a further project quotation and any additional charges will apply.

The Client Responsibilities

The Client agrees to assist The Developer in ensuring the project is completed on time by:

Content: The Client must supply to The Developer all requested content (text, images, logos, videos), timely (preferably within the timeline outlined in the project quotation). All content must be supplied in its final and edited format.

Provide Feedback: The Client must provide feedback and approvals promptly.

Delays: Delivering content or feedback late can delay the project timeline. The Developer is not liable for missed deadlines due to Client delays.

Design and Revisions

The price stated in the proposal includes two (2) rounds of major design revisions. Major revisions include significant changes to the overall layout, structure, or colour scheme.

Minor revisions (e.g., text changes, minor image swaps) are permitted and are not typically counted as a major revision round.

Payment Terms

Advance Payment: 50% Non-refundable advance payment to be given to commence work on the website.

Final Payment: 50% shall be the final payment, payable at the time of the completion of the website and prior to it being made live on the domain of the Client or the delivery of the final files.

All prices will be quoted in Indian rates (INR).

Project Timeline

The project timeline stated in the quotation is only an estimate. We will use reasonable efforts to deliver on time, but we rely on the timely delivery of the Client’s materials (as noted in Clause 3).

Web Hosting and Domain Name

The Client will be responsible for the purchase and ongoing costs of their web hosting and domain name. We can suggest hosting services, and take no responsibility for any issues that arise from the hosting provider, or with regards to server uptime, or domain renewal.

Ownership and Copyright

All rights of ownership and copyright of the completed website design and unique code will be transferred to the Client after final payment has been received.

  • The Developer maintains the right to promote the finished work as a part of our portfolio with a link to the live site being valid for self-promotion only.

Post Launch Support & Bugs

-Post 30 days of the launch of the website will be considered as a support period when we will be fixing bugs or errors in website functionality as listed in the original quotation.

A “bug” is defined as a technical fault in the website functioning as part of the original quotation. A bug is not classified as an “I changed my mind” request or additional/new functionality.

Routine website maintenance (software updates, security scans, backups) is to be undertaken at intervals agreed by separate Annual Maintenance Contract (AMC).

Cancellation

Cancellation by Client: If the Client cancels the project before projects completion, then the 50% advance payment will be non-refundable, and the Client will receive an invoice for work completed beyond the advance payment.

Cancellation by Developer: In the unlikely event that The Developer should cancel the project, all payments will be refunded to the Client in full.

Limitation of Liability

The Developer shall not be held responsible for loss of earnings, business interruption, or any other claim for damages made by the Client. The Developer’s maximum liability under this agreement shall be the entire amount paid by the Client for the project.

Under Governing Law

The laws of India shall govern and be used to construe this Agreement. Where any dispute shall arise out of this Agreement, such dispute shall be under the exclusive jurisdiction of the courts of India.
